MARKETING TOOLBOX: TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the Marketing Toolbox subscription services (the “Services”) offered by STORY22 (trading as “Marketing Toolbox”) (“we”, “us” or “our”). By subscribing to or otherwise using the Services, you (“Client”, “you” or “your”) agree to be bound by these Terms. If you do not agree, you must not use or subscribe to the Services.

 

1. Business-Only Agreement

1.1 Business Purposes Only
The Services are exclusively provided to businesses, including limited companies, partnerships, and sole traders acting in a commercial capacity. By subscribing, you warrant that you are entering into this contract for the purposes of your trade, business, craft, or profession.

1.2 No Consumer Rights
As these Terms govern a purely B2B contract, statutory consumer protection legislation (including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) does not apply. If, despite our policy, you access the Services as a consumer, you acknowledge that you may not be entitled to the usual consumer rights or cooling-off periods under UK law, especially if you have already accessed digital content or assets.


2. Definitions

2.1 “Basic Subscription” refers to our entry-level package providing monthly AI prompts and limited marketing templates.

2.2 “Pro Subscription” refers to our intermediate package providing fully personalised marketing assets, AI guidance, training videos, and a monthly live Q&A.

2.3 “Premium Subscription” refers to our top-tier package, including all Pro features plus one-to-one training.

2.4 “Subscription Fees” means the monthly payment due for your chosen subscription level, inclusive of applicable VAT.

2.5 “Initial Term” means the first billing period (one month) for which you have committed to subscribe, unless otherwise agreed in writing. Thereafter, the subscription will automatically renew monthly unless cancelled in accordance with these Terms.

2.6 “Renewal Notification” refers to an email we will send to you prior to your upcoming renewal date, reminding you of the impending monthly renewal.


3. Scope of Services

3.1 We will provide marketing-related services in accordance with your chosen subscription level, which may include:

  • AI prompts for creating social media posts, blogs, emails, and other copy.
  • Customisable templates and graphics for marketing campaigns.
  • Fully personalised written content (for higher-tier subscriptions).
  • Guidance, resources, and training on using AI tools for marketing purposes.
  • Monthly live Q&A sessions and one-to-one training (for Premium Subscribers).

3.2 Exclusions and Limitations

  • We do not provide advertising budgets or payments to third-party platforms.
  • Execution of any marketing strategies, beyond what is explicitly included in your subscription, remains your responsibility.
  • AI-generated content may contain factual errors or omissions. You are fully responsible for proofreading, verifying accuracy, and ensuring compliance with all laws and regulations pertinent to your industry.
  • We make no guarantee of specific marketing performance, revenue increase, or any particular results.

3.3 Independent Contractor Status
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us. We each act as independent contractors.


4. Subscription Fees and Taxes

4.1 Subscription Fees

  • All Subscription Fees are published on our website or communicated to you in writing.
  • Subscription Fees are inclusive of VAT at the prevailing rate.

4.2 Payment of Fees

  • All payments are due in advance on the first day of each monthly billing cycle.
  • Subscription Fees are non-refundable, subject to any mandatory legal rights you may have (if applicable in a B2B context).

4.3 Special Offers

  • If you join at a promotional rate and subsequently cancel, you will not be entitled to rejoin at the same special rate in future.

5. Payment Schedule and Methods

5.1 Payment Methods
Payments must be made via credit card or any other method we expressly approve. If a payment method is declined, we will attempt to notify you so that you can update your details or provide an alternative payment method.

5.2 Late Payments

  • If payment is not received on time, your access to the Services will be revoked immediately.
  • We may charge a reasonable late payment fee or interest at the statutory rate on overdue amounts.

5.3 Maintaining Payment Information
You are responsible for ensuring your payment information is valid and up to date at all times.


6. Initial Term, Renewal, and Cancellation

6.1 Term

  • Your subscription begins on the date of your first payment and continues for the Initial Term (one month), unless otherwise agreed in writing.
  • The subscription then renews on a rolling monthly basis. We will send you a Renewal Notification by email prior to each renewal date, reminding you of the imminent billing cycle.

6.2 Cancellation

  • You may cancel at any time by logging into your account and selecting the cancellation option.
  • Cancellation takes effect at the end of your current billing cycle. You will retain access to the Services until that cycle ends, and no refund will be provided for unused days.

7. Refund Policy

7.1 No Refunds
Except in cases of demonstrable billing errors caused solely by us, all fees paid are strictly non-refundable.

7.2 Billing Errors

  • If you suspect a billing error, please contact us immediately at hello@marketingtoolbox.ai.
  • If the error was made by us, we will promptly rectify it, including issuing refunds where appropriate.

8. Modifications to Services or Pricing

8.1 We reserve the right to modify the content, features, or pricing of any subscription package. Any material change will be communicated to you at least 30 days in advance by email or via our website.

8.2 If you do not agree with the changes, you must cancel your subscription before the new terms become effective. Continued use of the Services after the effective date of any modifications constitutes acceptance of the revised Terms.


9. Your Obligations and Responsibilities

9.1 Provision of Content and Feedback

  • You agree to provide timely and accurate information, feedback, or approvals when requested.
  • You are responsible for reviewing and fact-checking any AI-generated or template-based content prior to public use.

9.2 Use of AI Prompts and Content

  • All AI prompts, templates, training materials, and other assets are provided solely for your internal business use.
  • Templates should never be used in their original form. You should always use the prompts provided to personalise templates to your business and your audience.
  • You must not share subscription-based materials, passwords, or confidential resources with unauthorised third parties.

9.3 Booking Appointments

  • You are responsible for booking any monthly calls, Q&A sessions, or training sessions included in your plan.
  • Failure to schedule or attend does not entitle you to any refund or credit.
  • If your package entitles you to 1-2-1 strategy calls, a minimum of 24 hours' notice is required for any 1-2-1 appointment cancellations. Failure to provide notice will result in the forfeiture of that month's appointment.

10. Confidentiality and Data Protection

10.1 Confidential Information
Each party shall treat as confidential and not disclose any information received from the other party that is marked confidential or should reasonably be assumed to be confidential.

10.2 Data Protection

  • We will handle your personal data in accordance with our Privacy Policy, which you acknowledge forms part of these Terms.
  • Where we process personal data, we will comply with applicable UK data protection legislation (including UK GDPR).
  • You remain responsible for ensuring that any data you provide is lawfully obtained and shared.

10.3 Client Resources
You shall keep any passwords, materials, and proprietary information provided through the Services strictly confidential, disclosing them only within your organisation on a need-to-know basis.


11. Intellectual Property Rights

11.1 Ownership of Materials
All original content (including text, graphics, and templates) created by us remains the property of STORY22 (trading as Marketing Toolbox). We grant you a non-exclusive, non-transferable licence to use such materials for your internal business purposes only.

11.2 Client-Provided Content
You represent and warrant that any content or data you provide does not infringe the rights of any third party. You grant us the right to use such material as needed to perform the Services.

11.3 Restrictions
You may not reproduce, sell, license, or distribute any of our proprietary content to third parties without our explicit, written consent.


12. Liability and Indemnity

12.1 No Guarantee of Results
Marketing outcomes, including results from AI-based recommendations, are subject to variables beyond our control. We make no guarantee of any particular increase in revenue, leads, or other performance metrics.

12.2 Limitation of Liability

  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
  • Subject to the above, our total liability for any claim arising out of or relating to these Terms or the Services is limited to the total amount of Subscription Fees you paid in the one (1) month preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, consequential, special, or incidental damages (including loss of profits, loss of goodwill, or reputational damage).

12.3 Indemnification
You agree to indemnify, defend, and hold harmless S22 (STORY22 trading as Marketing Toolbox), its affiliates, employees, and agents from any claim or damages (including reasonable legal fees) resulting from:
a. Content you provide or create using the Services;
b. Your misuse of the Services;
c. Your breach of these Terms or any applicable laws.


13. Termination

13.1 We may terminate your subscription immediately if:

  • You fail to pay any amount due by the required date;
  • You breach these Terms or misuse the Services;
  • You become insolvent or otherwise unable to pay your debts as they fall due.

13.2 Upon termination, you must pay any outstanding fees up to and including the termination date, and your access to the Services will be revoked immediately.


14. Dispute Resolution and Governing Law

14.1 Negotiation and Mediation
In the event of any dispute, the parties shall first endeavour to resolve it amicably through good-faith negotiations. If unresolved, the parties agree to consider mediation before commencing formal legal proceedings.

14.2 Jurisdiction
These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.


15. Force Majeure

15.1 Neither party shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from an event beyond the reasonable control of that party, including but not limited to acts of God, government action, war, riot, natural disaster, failure of utility services or telecommunications networks, or failure of third-party IT, software, or hosting providers.


16. Entire Agreement

16.1 These Terms (together with any documents expressly referred to herein, including our Privacy Policy) constitute the entire agreement between you and us and supersede all prior discussions, arrangements, or understandings (whether written or oral) relating to the Services.


17. Third-Party Rights

17.1 Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce any of these Terms under the Contracts (Rights of Third Parties) Act 1999.


18. Severability

18.1 If any provision of these Terms is found to be invalid or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall remain in full force and effect.


19. Notices

19.1 Service of Notice
Any formal notice or communication given under these Terms must be in writing and delivered by email to hello@marketingtoolbox.ai or to such other address as we may notify you of from time to time. We may provide notices to you at the email address associated with your subscription.

19.2 Informal Communications
Queries, feedback, and general communication may be handled through the above email or any other support channels we provide.

By subscribing to or using the Services, you confirm that you are doing so for business purposes only and have read, understood, and agree to be bound by these Terms of Service.
